Wormald International
Wormald is an Australian fire protection brand founded in 1889. Founded as an importer and distributor of fire doors and fire sprinklers, it grew over the decades into a diversified manufacturer of steel and metal products as well as a leader in the fire protection industry in Australia and New Zealand. Valued at US$1 billion by 1990, it was acquired by American conglomerate Tyco International that year and became part of its fire protection business (today the world's largest). In 2016 the Australian fire-protection business of Tyco International - including the Wormald brand - was bought out by a New York-based private-equity firm, Evergreen Capital L.P. (who already purchased Tyco's Fijian fire-protection business, as well as the rights to use the Wormald name there). It now operates under local management as Wormald International, LLC. Tyco International still operates in New Zealand under the Wormald brand (though it is officially registered as "Tyco New Zealand Limited"), wi ...

Reverse Takeover
A reverse takeover (RTO), reverse merger, or reverse IPO is the acquisition of a public company by a private company so that the private company can bypass the lengthy and complex process of going public. Sometimes, conversely, the public company is bought by the private company through an asset swap and share issue. The transaction typically requires reorganization of capitalization of the acquiring company. Process In a reverse takeover, shareholders of the private company purchase control of the public shell company/ SPAC and then merge it with the private company. The publicly traded corporation is called a "shell" since all that exists of the original company is its organizational structure. The private company shareholders receive a substantial majority of the shares of the public company and control of its board of directors. The transaction can be accomplished within weeks. The transaction involves the private and shell company exchanging information on each other, neg ...

Optical Fiber Cable
A fiber-optic cable, also known as an optical-fiber cable, is an assembly similar to an electrical cable, but containing one or more optical fibers that are used to carry light. The optical fiber elements are typically individually coated with plastic layers and contained in a protective tube suitable for the environment where the cable is used. Different types of cable are used for different applications, for example, long distance telecommunication, or providing a high-speed data connection between different parts of a building. Design Optical fiber consists of a core and a cladding layer, selected for total internal reflection due to the difference in the refractive index between the two. In practical fibers, the cladding is usually coated with a layer of acrylate polymer or polyimide. This coating protects the fiber from damage but does not contribute to its optical waveguide properties. Individual coated fibers (or fibers formed into ribbons or bundles) then have a tough ...

Vertical Integration
In microeconomics, management and international political economy, vertical integration is a term that describes the arrangement in which the supply chain of a company is integrated and owned by that company. Usually each member of the supply chain produces a different product or (market-specific) service, and the products combine to satisfy a common need. It contrasts with horizontal integration, wherein a company produces several items that are related to one another. Vertical integration has also described management styles that bring large portions of the supply chain not only under a common ownership but also into one corporation (as in the 1920s when the Ford River Rouge Complex began making much of its own steel rather than buying it from suppliers). Vertical integration and expansion is desired because it secures supplies needed by the firm to produce its product and the market needed to sell the product. Vertical integration and expansion can become undesirable whe ...

Newington, New Hampshire
Newington is a town in Rockingham County, New Hampshire, United States. The population was 811 at the 2020 census. It is bounded to the west by Great Bay, northwest by Little Bay and northeast by the Piscataqua River. It is home to Portsmouth International Airport at Pease (formerly Pease Air Force Base) and to the New Hampshire Air National Guard. The Old Town Center Historic District is listed on the National Register of Historic Places. History Originally a part of Dover, boundary disputes among early river settlers caused this area to be called "Bloody Point". By 1640, Trickey's Ferry operated between Bloody Point and Hilton's Point in Dover. In 1712, the meetinghouse was erected and the parish set off, named "Newington" for an English village, whose residents sent the bell for the meetinghouse. Behind the meetinghouse is a row of horse sheds, once commonplace but now rare. About 1725 the parsonage was built near the Town Forest, considered one of the oldest in the United ...

Submarine Communications Cable
A submarine communications cable is a cable laid on the sea bed between land-based stations to carry telecommunication signals across stretches of ocean and sea. The first submarine communications cables laid beginning in the 1850s carried telegraphy traffic, establishing the first instant telecommunications links between continents, such as the first transatlantic telegraph cable which became operational on 16 August 1858. Subsequent generations of cables carried telephone traffic, then data communications traffic. Modern cables use optical fibre technology to carry digital data, which includes telephone, Internet and private data traffic. Modern cables are typically about in diameter and weigh around for the deep-sea sections which comprise the majority of the run, although larger and heavier cables are used for shallow-water sections near shore. Submarine cables first connected all the world's continents (except Antarctica) when Java was connected to Darwin, Northern Terr ...
