Richard Petty Motorsports
Richard Petty Motorsports (RPM) was an American professional stock car racing team that competed in the NASCAR Cup Series. The team was founded as a result of the merger between Gillett Evernham Motorsports (GEM) and Petty Enterprises, with former Montreal Canadiens and Liverpool F.C. owner George Gillett having a controlling interest in the organization. In late 2009, the team merged with Yates Racing and consequently switched to Ford for the 2010 season. Evernham had no involvement in the team by this time. After funding issues due to the Gillett family's financial woes, in November 2010, an investment group including Andrew M. Murstein and his Medallion Financial Corporation, Douglas G. Richard Petty
Richard Lee Petty (born July 2, 1937), nicknamed "The King", is an American former stock car racing driver who raced from 1958 to 1992 in the former NASCAR Grand National and Winston Cup Series (now called the NASCAR Cup Series), most notably driving the No. 43 Plymouth/Pontiac for Petty Enterprises. He was the first driver to win the Cup Series championship seven times (a record now tied with Dale Earnhardt and Jimmie Johnson), while also winning a record 200 races during his career. This included winning the Daytona 500 a record seven times and winning a record 27 races (10 of them consecutively) in one season (1967). Statistically, he is the most accomplished driver in the history of the sport, and is one of the most respected figures in motorsports as a whole. Yates Racing was an American stock car racing team that competed in NASCAR through the 2009 season, after which it merged into Richard Petty Motorsports. Previously known as Robert Yates Racing, the team was owned by Doug Yates, who has officially owned the team since his father Robert's retirement on December 1, 2007. Controlling Interest
A controlling interest is an ownership interest in a corporation with enough voting stock shares to prevail in any stockholders' motion. A majority of voting shares (over 50%) is always a controlling interest. When a party holds less than the majority of the voting shares, other present circumstances can be considered to determine whether that party is still considered to hold a controlling ownership interest. In the United States, Delaware corporations have a 2/3 vote requirement for a motion to pass. In theory, this could mean that a controlling interest would have to be over two-thirds of the voting shares. A 2019 study published in the Virginia Law Review said dual-class stock structures, common to newly public technology companies, creates governance risks and costs, including the potential loss of economic value for non-voting shares held by public investors.
