''Union Eagle Ltd v Golden Achievement Ltd'' 997UKPC 5is an English contract law case, concerning the right to terminate performance of a contract. Facts Union Eagle paid 10% of the HK$4.2m price for a Hong Kong flat as a deposit. Time was said to be ‘of the essence’. Completion was meant to be 5pm 30 September 1991, and clause 12 said failure to complete meant the deposit was forfeit and the agreement rescinded. They were 10 minutes late. Union Eagle sued for specific performance, arguing relying on such a legal right was unconscionable. Advice Lord Hoffmann for the Privy Council advised that certainty was needed in the business world, particularly in a volatile market. Accordingly, the contract's terms should be strictly enforced, and Union Eagle lost its deposit. Robert Lionel Archibald Goff, Baron Goff of Chieveley, (12 November 1926 – 14 August 2016) was an English barrister and judge who was Senior Lord of Appeal in Ordinary, the equivalent of today's President of the Supreme Court. Best known for establishing unjust enrichment as a branch of English law, he has been described by Andrew Burrows as "the greatest judge of modern times". Goff was the original co-author of ''Goff & Jones'', the leading English law textbook on restitution and unjust enrichment, first published in 1966. William Hugh Griffiths, Baron Griffiths, MC, PC (26 September 1923 – 30 May 2015) was a British soldier, cricketer, barrister, judge and life peer. The son of Sir Hugh Griffiths, he was educated at Charterhouse School and St John's College, Cambridge. During the Second World War he served in the Welsh Guards, receiving a Military Cross in 1944 for an action in which he disarmed a German tank. Griffiths was called to the Bar, Inner Temple in 1949, and became a Queen's Counsel in 1964. From 1962 to 1964, he was Recorder of Margate, and from 1964 to 1970 of Cambridge. In 1971, Griffiths was knighted and was made Judge of the High Court of Justice, Queen's Bench Division, a post he held until 1980. Michael John Mustill, Baron Mustill, PC, FBA (10 May 1931 – 24 April 2015) was an English barrister and judge. He was a Lord of Appeal in Ordinary from 1992 to 1997. Life and career The son of Clement William and Marion Mustill, he was educated at Oundle School and St John's College, Cambridge, where he graduated with a Doctor of Laws in 1992. Leonard Hubert "Lennie" Hoffmann, Baron Hoffmann (born 8 May 1934) is a retired senior South African–British judge. He served as a Lord of Appeal in Ordinary from 1995 to 2009.
