United States V. Continental Can Co.
''United States v. Continental Can Co.'', 378 U.S. 441 (1964), was a U.S. Supreme Court case which addressed antitrust issues. One issue it addressed was how should a market segment be defined for purposes of reviewing a merger of companies which manufacture different but related products. Facts In 1956, Continental Can Company, the second largest producer of metal containers in the U.S., acquired the Hazel-Atlas Glass Company, the third largest producer of glass containers. The government sought Continental Can's divestiture of the assets of Hazel-Atlas, arguing that the merger was a violation of Section 7 of the Clayton Antitrust Act. The government claimed ten product markets existed, including the can industry, the glass container industry, and various lines of commerce defined by the end use of the containers. Ed. 2d in case citations) is an unofficial reporter of Supreme Court of the United States opinions. US Antitrust Law
In the United States, antitrust law is a collection of mostly federal laws that regulate the conduct and organization of businesses to promote competition and prevent unjustified monopolies. The three main U.S. antitrust statutes are the Sherman Act of 1890, the Clayton Act of 1914, and the Federal Trade Commission Act of 1914. These acts serve three major functions. First, Section 1 of the Sherman Act prohibits price fixing and the operation of cartels, and prohibits other collusive practices that unreasonably restrain trade. Second, Section 7 of the Clayton Act restricts the mergers and acquisitions of organizations that may substantially lessen competition or tend to create a monopoly. Clayton Antitrust Act
The Clayton Antitrust Act of 1914 (, codified at , ), is a part of United States antitrust law with the goal of adding further substance to the U.S. antitrust law regime; the Clayton Act seeks to prevent anticompetitive practices in their incipiency. That regime started with the Sherman Antitrust Act of 1890, the first Federal law outlawing practices that were harmful to consumers (monopolies, cartels, and trusts). The Clayton Act specified particular prohibited conduct, the three-level enforcement scheme, the exemptions, and the remedial measures. The Hazel-Atlas Glass Company was a large producer of machine-molded glass containers headquartered in Wheeling, West Virginia.
