Richard C. Breeden
Richard C. Breeden (born December 6, 1949) is a former chairman of the U.S. Securities and Exchange Commission, hedge fund manager, and corporate chairman. Early career Breeden began his career practicing corporate and securities law in New York City. During the administrations of Presidents Reagan, Bush (I) and Clinton, he held a series of government posts, including assistant to the President for issue analysis under President George H. W. Bush. U.S. Securities and Exchange Commission Although he had never worked in the securities industry, Mr. Breeden was appointed to lead the SEC, where he cut a colourful figure, wearing striped suspenders and driving a red Porsche with the license plate 1RCB1. David Sturtevant Ruder
David Sturtevant Ruder (May 25, 1929 – February 15, 2020) was the William W. Gurley Memorial Professor of Law Emeritus at Northwestern University School of Law, where he served on the faculty since 1961, and where he served as dean from 1977 to 1985. He served as chairman of U.S. Securities and Exchange Commission from 1987 to 1989, and later practiced with the Chicago-based law firm Baker & McKenzie. He served as chairman of the Mutual Fund Directors Forum, an organization providing education to independent directors of mutual funds, from 2002 to 2010 and was the organization's chairman emeritus. Ruder was a 1951 graduate of Williams College (B.A. cum laude) and a 1957 graduate of the University of Wisconsin Law School (J.D., with honors). A federal pardon in the United States is the action of the President of the United States that completely sets aside the punishment for a federal crime. The authority to take such action is granted to the president by the U.S. Constitution. A pardon is one form of the clemency power of the president, the others being commutation of sentence, remission of fine or restitution, and reprieve. A proxy fight, proxy contest or proxy battle (sometimes even called a proxy war) is an unfriendly contest for the control over an organization. The event usually occurs when a corporation's stockholders develop opposition to some aspect of the corporate governance, often focusing on directorial and management positions. Corporate activists may attempt to persuade shareholders to use their proxy votes (i.e., votes by one individual or institution as the authorized representative of another) to install new management for any of a variety of reasons.
