Irish Takeover Panel
The Irish Takeover Panel is the statutory body responsible for monitoring and supervising takeovers and other relevant transactions in relevant companies in Ireland. It was established by the Irish Takeover Panel Act 1997. The Panel is designated as the competent Irish authority for the purpose of the Takeover Directivebr>2004/25/EC It is incorporated as a company limited by guarantee. It makes Annual Reports to the Minister for Enterprise, Trade and Employment. Governance The Members of the Panel are representative of bodies professionally involved in the securities markets and in the field of takeovers: the Consultative Committee of Accountancy Bodies – Ireland, the Law Society of Ireland, the Irish Association of Investment Managers, the Banking and Payments Federation Ireland, and the Irish Stock Exchange plc. Takeover Directive
The Takeover Directive''2004/25/ECis an EU Directive dealing with European company law's treatment of mergers and acquisitions. It concerns the standards takeover bidders must comply with in how long a bid stays open to, who they offer to, and the information companies must give to the public about the bid. The most controversial provision, which eventually was made optional, was the requirement of the board of directors of a target company to be neutral in the bid process. The Consultative Committee of Accountancy Bodies (CCAB) is an umbrella group of chartered professional bodies of British qualified chartered accountants. The Banking and Payments Federation Ireland (BPFI) is the main representative body for the banking and financial services sector in Ireland. The BPFI was formed in 2014 from the merger of the Irish Payment Services Organisation with the Irish Banking Federation (IBF). Euronext Dublin (formerly The Irish Stock Exchange, ISE; ga, Stocmhalartán na hÉireann) is Ireland's main stock exchange, and has been in existence since 1793. The Euronext Dublin lists debt and fund securities and is used as a European gateway exchange for companies seeking to access investors in Europe and beyond. With over 35,000 securities listed on its markets, the exchange is used by over 4,000 issuers from more than 85 countries to raise funds and access international investors. Cian Ferriter
Cian Ferriter is an Irish lawyer who has been a judge of the High Court since October 2021. He practised as a barrister specialising in commercial and media law. Early life Ferriter attended secondary school at St Benildus College in Kilmacud until 1986. The title of Senior Counsel or State Counsel (post-nominal letters: SC) is given to a senior lawyer in some countries that were formerly part of the British Empire. "Senior Counsel" is used in current or former Commonwealth countries or jurisdictions that have chosen to change the title "King's Counsel" to a name without monarchical connotations, usually related to the British monarch that is no longer head of state, such that reference to the King is no longer appropriate. The Central Bank of Ireland ( ga, Banc Ceannais na hÉireann) is Ireland's central bank, and as such part of the European System of Central Banks (ESCB). Daniel O'Keeffe, styled as Mr Justice Daniel O'Keeffe, was chairperson of the Standards in Public Office Commission from 11 February 2014 until 10 February 2020. He is a former Judge of the High Court (2008-2013). As Chairman of the Standards in Public Office Commission, he was also an ex-officio member (Commissioner) of the Commission for Public Service Appointments. Rory Brady
Rory Brady (20 August 1957 – 19 July 2010) was an Irish barrister who served as the Attorney General of Ireland from 2002 to 2007. He served as a Member of the Council of State, and was a mediator on the Permanent Court of Arbitration in The Hague. He was visiting fellow at Harvard University in the United States, and was considered a candidate for the Supreme Court of Ireland. Early life Brady was born on 20 August 1957. He sat his Leaving Certificate at Synge Street CBS in 1975. He studied law at University College Dublin and received a Bachelor of Civil Law Degree in 1978.
