Lord Eldon LC
John Scott, 1st Earl of Eldon, (4 June 1751 – 13 January 1838) was a British barrister and politician. He served as Lord Chancellor, Lord High Chancellor of Great Britain between 1801 and 1806 and again between 1807 and 1827. Background and education Eldon was born in Newcastle upon Tyne. His grandfather, William Scott of Sandgate, a street adjacent to the Newcastle quayside, was clerk to a fitter, a sort of water-carrier and broker of coals. His father, whose name also was William, began life as an apprentice to a fitter, in which service he obtained the freedom of Newcastle, becoming a member of the guild of Hostmen (coal-fitters); later in life he became a principal in the business, and attained a respectable position as a merchant in Newcastle, accumulating property worth nearly £20,000. United Kingdom insolvency law regulates companies in the United Kingdom which are unable to repay their debts. Regal (Hastings) Ltd V Gulliver
, is a leading case in UK company law regarding the rule against directors and officers from taking personal advantage of a corporate opportunity in violation of their duty of loyalty to the company. The Court held that a director is in breach of his duties if he takes advantage of an opportunity that the corporation would otherwise be interested in but was unable to take advantage. However the breach could have been resolved by ratification by the shareholders, which those involved neglected to do. Facts Regal owned a cinema in Hastings. They took out leases on two more, through a new subsidiary, to make the whole lot an attractive sale package. However, the landlord first wanted them to give personal guarantees. ''Holder v Holder'' 968Ch 353 is an English trusts law case concerning conflict of interest. Facts Victor Holder was an executor of his father’s will. He wanted to renounce executorship, after he had performed some tasks in that capacity. Unfortunately that technically meant the executorship could not be properly renounced. The remaining executors put two farms up for auction, on which Victor was a tenant. Victor bought them at the auction. The other beneficiaries of the trust claimed he could not make the purchase, because it would constitute a conflict of interest.
